1. Acceptance of Terms

VEDAI ("VEDAI", "we", "our", or "us") operates the Veo 3.1-first AI video studio available at https://vedai.app. These Terms of Service ("Terms") govern your access to and use of the VEDAI website, applications, and video generation services (collectively, the "Service"). By creating an account, purchasing credits, or using any part of the Service, you agree to be bound by these Terms and our Privacy Policy and Cookie Policy.

If you do not agree with these Terms, do not access or use the Service.

2. Overview of the Service

VEDAI enables creators to generate short-form videos using Google DeepMind's Veo 3.1 preview model with Veo 3 fallback when preview capacity is limited. Core capabilities include:

AI-powered video rendering from text prompts, reference images, and project settings
HDR audio, multi-scene continuity, and enterprise resolutions up to 8K (where supported)
Credit-based usage with optional subscription plans and invoicing
Project history, downloadable outputs, and integration with upcoming collaboration tooling

We continuously iterate on features and may modify, suspend, or discontinue parts of the Service at any time.

3. Eligibility & Accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) to use VEDAI.
You must provide accurate, current, and complete account information and keep it updated.
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
Notify us immediately at [email protected] if you believe your account has been compromised.
We reserve the right to refuse registration, suspend accounts, or reclaim usernames for any reason.

4. Credits, Subscriptions & Payments

VEDAI offers subscription plans and on-demand credit packages to access Veo 3.1 preview rendering and Veo 3 fallback.
Payments are processed securely by Stripe or other authorized providers. By purchasing you agree to their terms.
Credit balances are tied to your account and non-transferable. Expired or cancelled accounts may forfeit unused credits.
Except where prohibited by law, all fees are non-refundable. We may offer goodwill refunds at our sole discretion.
You are responsible for any taxes, duties, or charges imposed by authorities related to your purchases.

5. Acceptable Use Policy

You agree not to use VEDAI to:

Violate any applicable law, regulation, or rights of others
Create content that is unlawful, hateful, harassing, defamatory, pornographic, or otherwise harmful
Generate or distribute misleading or deceptive media without disclosure
Upload malicious code, interfere with system security, or attempt to access accounts you do not own
Reverse engineer, decompile, or otherwise attempt to derive the source or architecture of the Service or underlying models
Misrepresent affiliation with VEDAI or imply endorsement without written permission

We may suspend or terminate accounts that breach this policy.

6. Generated Content & Licenses

Your Prompts & Assets: You retain ownership of prompts, reference assets, and other materials you upload.
Generated Outputs: Subject to payment of required fees, you receive a worldwide, non-exclusive right to use, reproduce, display, and distribute videos generated via your account, including for commercial purposes, provided you follow applicable laws and third-party platform rules.
Feedback: If you provide suggestions, improvements, or other feedback, you grant VEDAI a perpetual, irrevocable, royalty-free license to use it for any purpose without obligation to you.
You are responsible for ensuring that your prompts and outputs comply with legal requirements, including intellectual property, publicity, and privacy rights.

7. Model Availability & Beta Features

Veo 3.1 preview access, Veo 3 fallback, and related features may be offered on a beta or pre-release basis. Functionality, latency, and quality may change without notice.
We may collect usage data to improve system reliability, detect abuse, and enhance performance. See our Privacy Policy for details.
We make no guarantees regarding uninterrupted availability, generation success rates, or compatibility with third-party tools.

8. Privacy & Data Protection

Our collection and use of personal data are described in our Privacy Policy. By using the Service you acknowledge that we will process your information in accordance with that policy.

9. Suspension & Termination

We may suspend or terminate access to the Service at any time, with or without notice, if we believe:

You breached these Terms or any applicable law
Your use poses a security, legal, or reputational risk to VEDAI or others
Providing the Service is no longer commercially viable

You may close your account at any time from the dashboard or by emailing [email protected]. Sections that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and indemnities) will remain in effect.

10. Disclaimers

VEDAI is provided on an "as-is" and "as-available" basis. We disclaim all warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that generated content will be accurate, original, free of defects, or suitable for your intended use.
You are solely responsible for reviewing outputs before use and for complying with platform or distribution policies.

11. Limitation of Liability

To the maximum extent permitted by law, VEDAI and its affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill arising from your use of the Service. Our aggregate liability for any claim relating to the Service will not exceed the amounts paid by you to VEDAI in the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so the above may not apply fully to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless VEDAI, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or related to:

Your use or misuse of the Service
Your violation of these Terms or any law
Your content, prompts, or outputs, including any infringement or violation of third-party rights

13. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms will be resolved exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date above and, when appropriate, notify you by email or in-product notice. Continued use of the Service after the updated Terms become effective constitutes acceptance of the changes.
